BEIJING, June 27, 2025 — KANZHUN LIMITED (“BOSS Zhipin” or the “Company”) (Nasdaq: BZ; HKEX: 2076), a prominent online recruitment platform in China, today confirmed that all resolutions put forth for shareholder endorsement (referred to as the “Proposed Resolutions”), as detailed in the notice for the annual general meeting dated May 22, 2025, have been approved at the annual general meeting (the “AGM”) convened in Beijing, China, on this date.
With the Proposed Resolutions now adopted, all associated corporate authorizations and actions have received approval. This includes, but is not limited to: (i) the re-election of Mr. Yu Zhang and Mr. Xu Chen as executive directors, Mr. Haiyang Yu as a non-executive director, and Mr. Yonggang Sun and Ms. Hongyu Liu as independent non-executive directors of the Company; and (ii) the granting of a general, unconditional mandate to the Company’s directors. This mandate allows them to allot, issue, and manage additional Class A ordinary shares (which encompasses the sale and/or transfer of treasury shares) and to repurchase the Company’s own shares and/or ADSs, in each case, according to the terms and within the periods specified in the AGM notice.
