CDT Environmental Technology Notified by Nasdaq Regarding Minimum Bid Price

SHENZHEN, China, June 20, 2025 — CDT Environmental Technology Investment Holdings Limited (NASDAQ:CDTG) (“CDT” or the “Company”), a leading Chinese provider of waste treatment solutions, announced it received a notification on June 18, 2025, from Nasdaq regarding non-compliance with Nasdaq Listing Rule 5550(a)(2). This rule requires a minimum bid price of US$1.00 per ordinary share, par value US$0.0025, which the Company’s share price failed to meet for 30 consecutive business days. The notification does not immediately delist the Company’s securities.

The Company clarifies that the notification does not currently affect the listing or trading of its securities on Nasdaq. According to Nasdaq Listing Rule 5810(c)(3)(A), CDT has a 180-calendar-day compliance period, until December 15, 2025, to regain compliance. Compliance will be achieved if the closing bid price is at least US$1.00 for a minimum of 10 consecutive business days, upon which Nasdaq will issue a written confirmation.

If compliance is not regained by December 15, 2025, the Company may be eligible for an additional 180-day compliance period, subject to Nasdaq staff determination. This extension requires meeting continued listing requirements for market value of publicly held shares and all other initial listing standards, except the bid price, and providing written notice to Nasdaq of its intent to rectify the minimum bid price deficiency.

The Company plans to monitor its share price until December 15, 2025, and is evaluating options to regain compliance with Nasdaq Listing Rules. CDT is currently compliant with all other applicable Nasdaq continued listing standards.
